These Digital Image License Terms and Conditions (the "Agreement") govern the use of digital images (the "Images") by the client ("Licensee") of Cadre Concepts LLC (the "Licensor"). The Licensor agrees to license the Images to the Licensee subject to the following terms and conditions:
The Licensor hereby grants to the Licensee a non-exclusive, non-transferable, worldwide license to use the Images in accordance with the terms and conditions set forth herein.
The Licensee may use the Images for the following purposes:
a. Electronic materials, such as websites, social media, and email marketing
b. Editorial purposes, such as news articles, magazines, and blogs
c. Personal use, such as for desktop wallpaper, personal blogs, and social media profiles.
The Licensee shall not use the Images for the following purposes:
a. Resale, sublicensing, or distribution of the Images
b. Use of the Images in a way that violates any applicable laws or regulations
c. Use of the Images in a way that is defamatory, pornographic, or otherwise unlawful or offensive
d. Use of the Images in a manner that implies endorsement or affiliation with any product, service, or brand
e. Use of the Images in a way that competes with the Licensor's business.
The Images are the exclusive property of the Licensor and are protected under applicable copyright laws. The Licensee shall not claim ownership or authorship of the Images unless a white label agreement has been established.
The Licensee shall pay the Licensor the agreed-upon fee for the use of the Images. Payment shall be made in full before the Licensee may use the Images.
The Licensor may terminate this Agreement immediately if the Licensee breaches any of the terms and conditions set forth herein. Upon termination, the Licensee shall immediately cease all use of the Images and destroy all copies of the Images in its possession.
The Licensor warrants and represents that it is the sole owner of the Images and has the right to grant the license set forth herein. The Licensee warrants and represents that it will use the Images in accordance with the terms and conditions set forth herein.
The Licensor shall not be liable for any indirect, incidental, or consequential damages arising out of or in connection with the use of the Images.
This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction where the Licensor is located, without giving effect to any principles of conflicts of law. Any disputes arising out of or in connection with this Agreement shall be resolved in the courts of that jurisdiction.
This Agreement constitutes the entire agreement between the Licensor and the Licensee and supersedes all prior or contemporaneous negotiations, discussions, or agreements, whether written or oral, regarding the subject matter herein.
By purchasing and/or downloading the Images, the Licensee agrees to be bound by the terms and conditions set forth herein. If the Licensee does not agree to these terms and conditions, the Licensee shall not use the Images.
